01Introduction and acceptance

These Terms and Conditions ("Terms") govern all services provided by Yare Strategy ("Yare Strategy", "we", "us" or "our") to any client ("you" or "Client"). By booking a consultation, signing a Project Agreement, approving a milestone or paying an invoice, you agree to these Terms.

Where a signed Project Agreement conflicts with these Terms, the Project Agreement governs for that project only.

02Definitions

  • "Services" means brand, AI, advertising and related consulting and creative services described on our website or in a Project Agreement.
  • "Project Agreement" means the written scope, statement of work or proposal accepted by both parties for a specific engagement.
  • "Milestone" means a defined, separately deliverable stage of work set out in a Project Agreement, with its own fee.
  • "Deliverables" means the work product we provide to you under a Project Agreement.
  • "Approval" means your written confirmation (including by email) that a Milestone is complete and accepted.

03Services and scope

The scope of each engagement, including Milestones, Deliverables, fees, currency, timelines and refund terms, is set out in a Project Agreement agreed in writing before any work begins.

Work outside the agreed scope is not included unless both parties agree to it in writing, which may involve an additional Milestone and fee. We will always tell you before out-of-scope work begins.

04Free consultation

Every project starts with an initial consultation at no cost and with no obligation. Nothing discussed in a consultation creates a binding commitment for either party until a Project Agreement is accepted in writing.

05Milestones and approval

Work is delivered in the Milestones set out in the Project Agreement. When a Milestone is complete, we will submit it for your review.

You agree to review each Milestone within ten (10) business days of submission and either give Approval or describe the revisions reasonably needed to meet the agreed outcome. If you do not respond within that period, we will follow up in writing; a Milestone is never deemed approved without your confirmation.

06Fees, invoicing and payment

  • Each project begins with a consultation at no cost. Scope and Milestones are agreed in writing before work starts.
  • We do not take deposits and do not ask for upfront payment for undelivered work.
  • An invoice for a Milestone is issued only after that Milestone has been completed, revised as reasonably needed, and approved by you.
  • All fees are stated and payable in Canadian dollars (CAD) unless the Project Agreement states otherwise. Applicable taxes, including HST, are added where required by law.
  • Invoices are payable within fourteen (14) days of issue by Stripe or PayPal. Processing fees charged by those providers are absorbed by us unless the Project Agreement states otherwise.
  • Full scope, fees, currency, timelines and refund terms for each project are set out in the Project Agreement.

07Revisions

Reasonable revisions needed to achieve the outcome agreed in the Project Agreement are included in the Milestone fee and are not charged separately. Requests that change the agreed outcome or scope are treated as new work under Section 3.

08Refunds and incomplete projects

  • If a project cannot be completed for any reason, you will receive a pro rata refund for any Milestone that has been paid but not delivered.
  • If work was performed but a Milestone was not reached, that work is not charged.
  • Approved and paid Milestones that have been fully delivered are non-refundable, except as required by applicable law.
  • Refunds are issued to the original payment method through Stripe or PayPal, normally within ten (10) business days of confirmation.

09Client responsibilities

You agree to provide timely access to the information, materials, accounts and decision-makers reasonably needed to deliver the Services, and to confirm that any materials you supply do not infringe the rights of others. Delays caused by late inputs may extend timelines accordingly.

10Intellectual property

On payment of a Milestone, ownership of the final Deliverables for that Milestone transfers to you, excluding third-party materials (such as licensed fonts, stock assets or software), which remain subject to their own licences.

We retain ownership of our pre-existing know-how, methods, templates and tools. Unless you tell us otherwise in writing, we may describe the general nature of the work in our portfolio without disclosing confidential information.

11Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform or receive the Services. This obligation survives the end of the engagement for three (3) years, or longer for trade secrets.

12AI tools and third-party platforms

Some Services involve third-party platforms, including AI models, APIs, advertising networks and software providers. Those platforms are governed by their own terms, pricing and availability, which we do not control.

AI-generated output can contain errors. We review output we deliver, but you remain responsible for final review and for decisions made using AI systems we configure. We will not upload your confidential data to a third-party AI service without your approval.

13Advertising spend and results

Advertising budgets are paid by you directly to the relevant platforms and are separate from our fees. While we work to improve performance, we do not guarantee specific results, rankings, leads, sales or return on ad spend, as these depend on factors outside our control.

14Limitation of liability

To the maximum extent permitted by law, Yare Strategy's total aggregate liability arising out of or relating to the Services, whether in contract, tort or otherwise, is limited to the total fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

We are not liable for indirect, incidental, consequential or special losses, including loss of profits, revenue, data or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law.

15Indemnity

You agree to indemnify Yare Strategy against claims arising from materials you supply, your use of Deliverables outside the agreed purpose, or your breach of these Terms or applicable law.

16Termination

Either party may end an engagement with written notice. On termination, approved Milestones are payable, any paid but undelivered Milestone is refunded pro rata under Section 8, and work in progress on an unreached Milestone is not charged. Sections that by their nature should survive termination will do so.

17Privacy

We collect and use personal information only to respond to enquiries and deliver the Services, in accordance with applicable Canadian privacy law, including PIPEDA. Information submitted through our contact form is used solely to reply to you and is not sold or shared for marketing.

18Governing law

These Terms and any Project Agreement are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts of Ontario.

19Changes to these Terms

We may update these Terms from time to time. The version in effect when a Project Agreement is accepted applies to that project unless both parties agree otherwise in writing.
